Pollard Banknote Announces the Closing of the Acquisition of
Schafer Systems
WINNIPEG, Canada (Oct. 31, 2018) --
Pollard Banknote Limited (TSX: PBL) ("Pollard Banknote" or "Pollard") is
pleased to announce the closing of the previously announced purchase
("Acquisition") of substantially all of the operating assets and business of
Schafer Systems Inc. ("Schafer"), the leading global provider of lottery ticket
dispensers and play stations.
Today's announcement follows
completion of the closing conditions included in the definitive agreement dated
September 25, 2018. As part of the former Employee Stock Ownership Plan
("ESOP") the employees and former employees of Schafer who remained members of
the ESOP, and the ESOP Trustee, were required to approve the transaction
through a formal vote, which we are happy to announce was overwhelmingly in
favour of the Acquisition.
"We are very pleased to close the
Acquisition and particularly gratified with the vote of confidence provided by
our new colleagues at Schafer," stated Doug Pollard, Co-Chief Executive
Officer of Pollard. "We look forward to providing lotteries the same
great service and innovative retail products they are used to receiving from
Schafer and, in combination with the resources available in Pollard, expanding
Schafer's reach to new geographic and technological opportunities. The
Schafer retail knowledge base will fit extremely well in the Pollard portfolio
of tools available to our lottery customers and assist us greatly in maximizing
growth at the retail level."
Schafer was founded in 1986 in
Adair, Iowa and has built its business largely on creating innovative products
including lottery ticket dispensers and point of purchase displays for the
lottery industry. As the foremost supplier of lottery ticket dispensers,
Schafer has partnered with all 44 existing U.S. lotteries and over 50 lotteries
in other countries during its three decades in business. Based in western
Iowa, Schafer employs approximately 50 full-time employees and is the
recognized leader in assisting lotteries to efficiently and effectively
distribute their instant-win scratch tickets to consumers.
With a focus on solutions to
increase sales at the retail location for the lottery industry, and on the
development of innovative and proprietary products, Schafer is a leader and key
partner to the lotteries for on-counter and wall mounted modular dispensers
with promoters, in-counter dispensers, ticket menu boards, check writers,
literature holders, promotional products, mounting fixtures, pop-ups, stands,
play stations, and game centers in a variety of sizes, configurations, and
materials.
The total Acquisition purchase price
was $23.5 million U.S. dollars (approximately $30.6 million CDN dollars using
an exchange rate of $1.30 CDN dollar per U.S. dollar) prior to any standard
working capital adjustments, with 100% all cash consideration being funded from
existing Pollard Banknote cash resources and availability under our existing
senior credit facility. Schafer has a long history of profitability and
the Acquisition is expected to be accretive to Pollard Banknote's net income.
John Pollard, Co-Chief Executive
Officer of Pollard Banknote concluded, "Our strategic vision continues to
set the foundation for our business: being the partner of choice for the
lottery and charitable gaming industry. The closing of the acquisition of
the Schafer business is another important step in achieving that
vision. Adding the industry leading solution in the retailing of
instant tickets follows that vision and allows Pollard to remain the thought
leader among the suppliers to lotteries around the world. We look forward to
working with the great team at Schafer."

Kentucky
LOUISVILLE, Kentucky (October 29,
2018) -- The new text-to-play Lottery Card allows Kentucky consumers to buy and
play Powerball® and Mega Millions®. The Lottery Card can be found in
checkout lanes and on gift card racks in Kroger stores statewide. Kentucky is
among the first states to debut this new option.
The Lottery Card pairs a
fun, digital way to play the lottery with the convenience of a gift
card, said Tom Delacenserie, President & CEO of the Kentucky
Lottery. This great new way to play embraces modern consumer
preferences for convenience and digital play, all while making the purchase
directly from the check-out lane.
The Lottery Card provides a host of
consumer benefits:

sent to the players phone via text and picture message;

To play, consumers simply purchase
the Lottery Card at their favorite Kroger location. When ready to play, the

automatically via PayPal. After enrolling, players can use their Lottery Card
to play again and again by presenting it at checkout. After paying, players
automatically receive their next set of quick pick numbers via text.
Kroger has been a fantastic
partner in this launch, said Delacenserie. Now, shoppers
have a lottery product they can find in multiple locations throughout the
store, including the gift card racks and check lanes, and they can purchase the
Lottery Cards as they are checking out, along with their other groceries.
Were thrilled to be able to provide players a new way to purchase, play,

EquiLottery Games, Kentucky Lottery Announce 45 Locations
Selling Win Place Show Trial
Louisville, KY (October 29, 2018) --
In preparation for the trial launch of Kentuckys Win Place Show game
beginning March 24, 2019, EquiLottery Games and the Kentucky Lottery have
announced the 45 stores committed to offering the game. The locations represent
an even split between the Louisville, Lexington and Northern Kentucky markets.
They also feature a mixture of independently-owned and corporate retailers.
We are very pleased with
the results of this recruitment effort, said Kentucky Lottery
Corporation President and CEO Tom Delacenserie. We set a list of 90
stores to be considered for the pilot with an expectation that not all stores
would be willing to take on the complications of a trial run. That expectation
was quickly eliminated as our retailers enthusiastically accepted the
challenge. This process has been another reminder of how exceptional our
retailer family is in Kentucky.

A complete list of retailers and
locations can be found
here which includes four major corporate chains
Circle K, Kroger, Speedway and Thorntons. Weeks prior to the launch of this
trial, these locations will feature information about Kentuckys Win Place
Show game, including how to play the game and download the games mobile
app. The trial will be marketed primarily through in-store advertisements with
some push through digital and social media. Success metrics will be built based
on the level of draw game activity in each store and this targeted marketing
approach.
Working with Tom
Delacenserie and the Kentucky Lottery team has been a dream since we officially
began this process in June, said EquiLottery Games CEO Brad Cummings.
One axiom nearly every lottery in the U.S. abides by is the idea that
retailer reception is the leading indicator for a new lottery games
success. That makes the ease of the retailer recruitment effort even more
rewarding. It validates our belief that Kentuckys Win Place Show game
will prove to be an exciting new game that grows the lottery player base and
increases funding for the good causes the Kentucky Lottery
supports.

Loto-Québec Continues to Perform Well in 2Q
FY2018-19
MONTRÉAL, Canada (October 29,
2018) -- Now halfway through the fiscal year, Loto-Québec is in a strong
position. Indeed, consolidated revenues reached $1.394 billion, an increase of
$61.9 million (+4.6%) compared to the same period last year. Net income was
reported at $721.6 million, up by $43.0 million (+6.3%).

HIGHLIGHTS
- Lotteries
All product categories are on
the rise. Lotto Max recorded excellent sales (+45.3%) thanks to the many major
jackpots offered. Sales also increased for instant lotteries due to more
dynamic offerings (+21.3%).
 |
- Casinos
Overall, casinos reported good
results with revenues up by 0.4%. The Casino de Montréal celebrated its
25th anniversary on October 9, and related festivities will continue throughout
the coming year.
- Gaming halls
Gaming halls continue to
grow, while the withdrawal of video lottery terminals resulted in a decrease in
revenues for the bar and brasserie network. Pilot project preparations for
launching our new electronic bingo offering called bingo+ are now complete.
Bingo+ has been available in the first hall since early October. Remember that
bingo is an important source of financing for many non-profit
organizations. The popularity of the lotoquebec.com online gaming site
remains strong, reflected by the 32.6% increase in revenues.
NOTE: Due to new accounting methods, prizes
paid out are now deducted from lottery, bingo and Kinzo revenues, as was
already the case for casinos and video lotteries (more details are available on
page 6 of the quarterly report). Figures for 2017-2018 were therefore adjusted.
Gross profit and net income were not affected.
The
quarterly report is available on Loto-Québecs
website.

Government Introduces New Point of Consumption Tax to Help Fund
Gambling Harm Measures
SYDNEY, NSW, Australia (October 29,
2018) -- The new 10 per cent Point of Consumption tax on online wagering by NSW
residents will provide $5 million per year for measures targeting gambling
harms.
Minister for Racing Paul Toole said
the funding boost means the Responsible Gambling Fund can expand its work in
preventing and reducing gambling harms.
As the Point of Consumption
tax closes a loophole in wagering laws by capturing online and telephone
betting, it makes sense to reinvest revenue from the tax into prevention and
harm minimisation programs in this area, Mr Toole said.
 |
Legislation for the new tax will be
introduced to Parliament today and the tax is expected to start from 1
January.
Online betting is
experiencing the fastest growth of all gambling. The additional funds from the
Point of Consumption tax will enable the Government to build on the work
weve already done in this space, Mr Toole said.
Last year, we launched the
innovative Betiquette advertising campaign targeted at young men aged 18 to 35
who make up the vast majority of sports bettors.
The Responsible Gambling
Fund is guiding the Governments approach to preventing and reducing
gambling in the community and in 2018/19 will spend a record $25 million to
support harm minimisation and prevention programs.
Mr Toole said the newly created
Office of Responsible Gamblings first Strategic Plan, launched last week,
also outlines measures targeting online and telephone betting.
The Point of Consumption tax will
also provide an extra $4 million per year for the new Greyhound Welfare and
Integrity Commission. This is on top of the $41 million already committed to
set up the new regulator and improve track safety.
To ensure the racing industry is not
negatively impacted by the tax, it will receive two per cent of total taxable
net NSW wagering revenue.
This is expected to be around $40
million for a full financial year, split between the three racing codes.

BCLC
Engages Auditor to Support Anti-Money Laundering Program
Monitoring Underway to
Ensure Integrity of Source of Funds Reporting
VANCOUVER, BC (October 23, 10, 2018)
-- BCLC is taking action to ensure that its Casino Service Providers are
completely and accurately recording information regarding the source of
players funds as part of its commitment to the prevention of
money-laundering activities in B.C. casinos
BCLC has engaged a third-party
auditor to undertake independent monitoring at B.C.s three busiest
casinos to support their compliance with BCLCs Source of Funds
declaration requirements, implemented in January 2018 following an interim
recommendation from Dr. Peter German as part of his independent review of
B.C.s anti-money laundering policies and practices in Lower Mainland
casinos.
As an industry, we are
actively engaged and committed to continually improving the anti-money
laundering practices in B.C. casinos to stay current with an ever-changing
challenge, said Jim Lightbody, President and CEO, BCLC. For
instance, it is essential that BCLC work together with our casino service
providers to ensure that source of funds declarations completely and accurately
record the necessary information as one means to help keep dirty money out of
B.C. casinos.
BCLCs initial monitoring of
its Service Providers compliance with source of funds declaration
requirements determined the need for the additional third-party oversight. As
such, additional monitoring at River Rock Casino Resort, Grand Villa Casino and
Parq Vancouver is underway to ensure that registered gaming workers are
consistently and completely accurate in gathering detailed information on the
source of player funds for all transactions of $10,000 or more. This additional
monitoring will continue until BCLC is satisfied that its service providers are
fully compliant.
In addition to third party
monitoring, BCLC is also working with B.C.s gambling regulator, the
Gaming Policy and Enforcement Branch (GPEB), which is auditing the overall
source of funds process. BCLC will continue to work in collaboration with the
regulator to support ongoing monitoring and success of the policy.
Effective January 10, 2018, all cash
and bank draft / certified cheque buy-ins for $10,000 or more, in one or more
transactions within a 24-hour period, require a source of funds declaration.
The declaration must include the financial institution, branch number and
account number related to the buy-in as well as the customers signature.
Depending on the circumstances, customers may also be required to provide
supporting banking documentation. This information is required before a
customer is allowed to buy in.
The registered gaming worker
conducting the transaction at the cash cage is also required to certify that he
or she received a source of funds declaration directly from the customer, and
completely and accurately recorded that information. If a customer does not
provide the required information, provides information that raises concern or
refuses to sign the source of funds declaration, the Service Provider must
refuse the transaction, document the refusal, and notify BCLC and GPEB, which
will trigger further inquiries and could result in a police investigation.
